Key points

  • At the auction of 9 October the liquidator CITR awarded the Mangalia shipyard to Rheinmetall Real Estate România SRL for EUR 138,034,320.47 excluding VAT; Paul Dieter Cîrlănaru, CITR's chief executive, said the sale secures the possibility of resuming activity at one of Romania's most important industrial assets
  • The price is 75 per cent of the EUR 184 million valuation at which four earlier auctions drew no bidder; Damen held 49 per cent from 2018 against the Romanian state's 51, ended the partnership in 2023, and the yard entered insolvency in June 2024 and bankruptcy in April 2026
  • Damen has appealed against the accelerated sale procedure; the Constanța court of appeal hears it on 4 November, and the appeal does not suspend the sale
  • The yard is where Rheinmetall's Naval Systems division is to build the four ships of its EUR 920 million contract with the Romanian defence ministry of 29 May 2026, two armed offshore patrol vessels and two diver support ships, by 2030; Rheinmetall said in May it was examining the takeover with the Swiss shipping group MSC as a dual-use hub, and has issued no release on the purchase

Rheinmetall has bought the Black Sea yard its Romanian naval contract assumed, at a quarter below valuation and with the former part-owner still in court.

The purchase closes a sequence that began in May, when Rheinmetall said a takeover of the bankrupt yard, in cooperation with MSC, would open "the start of a new era" for Romanian shipbuilding and could in time employ several thousand people. Three weeks later the defence ministry signed the EUR 920 million contract for the four ships under the EU's SAFE loan, part of the EUR 5.7 billion Rheinmetall package Bucharest financed through the instrument. Damen had offered comparable vessels from Galați for EUR 457 million in September 2025 and was turned down. Rheinmetall's naval arm is itself new: it closed the NVL acquisition in March, so Mangalia is the first yard it has bought rather than inherited. Romanian press reports that neither the Competition Council nor the foreign-investment screening commission has yet been notified, and that Rheinmetall has promised a statement; Signal No. 167 carried the purchase and the hearing date without either filing.

Rheinmetall paid EUR 46 million below a price four auctions could not fetch, and the former co-owner is contesting the fifth. The 2030 delivery date for the four ships was signed in May against a yard that has not built since 2024 and that Rheinmetall did not yet own; the appeal cannot suspend the sale, but a ruling against the procedure would reopen title to the site the contract depends on. Two filings and one ruling stand between the auction and the keel, and the order they arrive in is the thing to watch: notifications lodged before 4 November mean Rheinmetall is building its case on the procedure holding.
